1. Agreement to These Terms
These Terms of Service govern access to and use of Vidzooka. By creating an account, joining an organization, connecting a Google or YouTube account, uploading content, or using Vidzooka, you agree to these Terms.
If you use Vidzooka on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Vidzooka Service
Vidzooka provides tools for video project planning, team collaboration, idea generation, tasks, comments, approvals, video storage and processing, YouTube channel connection, YouTube upload, publishing workflows, notifications, billing, and related features.
Some features may be available only to specific roles, plans, beta users, or organizations. We may modify, improve, suspend, or discontinue features from time to time.
3. Accounts, Organizations, and Roles
Users must provide accurate account information and keep login credentials secure.
Organization owners are responsible for their workspace, invited users, roles, billing settings, connected accounts, and content uploaded or published through the organization.
Team roles may include creator, co-creator, editor, content writer, admin, and other roles defined by Vidzooka.
Users are responsible for all activity under their accounts unless caused by Vidzooka’s breach of these Terms or applicable law.
4. Beta Access and Eligibility
Vidzooka may restrict registration to approved beta users or invited organizations. Beta features may be incomplete, may change, and may contain errors. We may approve, reject, suspend, or revoke beta access at our discretion.
5. Google Sign-In and YouTube Connection
Vidzooka supports Google Sign-In for account authentication and YouTube connection features for user-authorized YouTube workflows. By connecting a Google or YouTube account, you authorize Vidzooka to access and use the permitted data and scopes only as needed to provide the requested features, as described in our Privacy Policy.
You are responsible for ensuring that you have the rights and authority to connect any YouTube channel and publish content to that channel. You may disconnect a channel from Vidzooka where the feature is available and may also revoke access through your Google Account permissions page.
Your use of YouTube through Vidzooka must comply with YouTube's Terms of Service, YouTube Community Guidelines, Google API Services User Data Policy, and all applicable laws and platform rules.
6. User Content and Publishing Responsibility
You must not upload or publish content that infringes intellectual property rights, violates privacy rights, is unlawful, harmful, abusive, deceptive, or violates platform policies.
7. AI-Assisted Features
Vidzooka may include AI-assisted features such as project idea generation, channel analysis, summaries, or other workflow assistance. AI output may be inaccurate, incomplete, or unsuitable. Users are responsible for reviewing and approving AI-assisted output before relying on it or publishing it.
User also grants permission for transmission and submission of the required user data to hosted AI or LLM services in order to use the above mentioned AI features.
Users should not submit confidential, sensitive, or regulated information to AI features unless your organization has approved that use.
8. Storage, Video Processing, and Third-Party Services
Vidzooka may use third-party infrastructure and service providers for hosting, video storage, video processing, delivery, payments, email, notifications, analytics, security, and error monitoring.
Video files may be stored or processed using trusted cloud infrastructure and storage providers.
Third-party services may be subject to their own terms and policies. Vidzooka is not responsible for third-party platform outages, API changes, quota limits, policy enforcement, account suspensions, or rejected uploads caused by those third parties.
9. Billing, Plans, Trials, and Payments
Vidzooka may offer free trials, paid plans, add-ons, usage limits, channel limits, user seat limits, and storage limits. Prices, plan features, billing intervals, taxes, and payment providers may vary by country and plan.
Payments may be processed through trusted third-party payment providers. By subscribing to a paid plan, you authorize the applicable payment provider to charge the selected payment method according to the selected plan, add-ons, taxes, and renewal terms.
Unless a separate written agreement states otherwise, subscription fees are non-refundable except where required by law or expressly stated in Vidzooka's refund policy.
10. Acceptable Use
Use Vidzooka for unlawful, harmful, abusive, misleading, infringing, or unauthorized activity.
Attempt to bypass plan limits, quota limits, storage limits, security controls, authentication, or authorization checks.
Upload malware, harmful code, spam, or content designed to disrupt services.
Reverse engineer, scrape, overload, attack, or interfere with Vidzooka or third-party APIs.
Use connected Google or YouTube accounts without proper authority.
Publish content that violates YouTube policies, applicable law, intellectual property rights, or privacy rights.
11. Security and Account Responsibility
You must keep account credentials secure and promptly notify us of unauthorized access. Organization owners must manage invited users and remove access when team members no longer need it.
Vidzooka may suspend access where we reasonably believe there is a security risk, policy violation, or misuse.
12. Suspension and Termination
You may stop using Vidzooka at any time. We may suspend or terminate access if you violate these Terms, fail to pay fees, create security or legal risk, misuse Google or YouTube APIs, or if required by law or third-party platform requirements.
Upon termination, we may retain certain records as required for legal, billing, security, audit, fraud prevention, and backup purposes. You are responsible for exporting or downloading content before termination where available.
13. Privacy and Data Protection
Our Privacy Policy explains how we collect, use, store, share, and delete information, including Google and YouTube data. By using Vidzooka, you agree to the collection and use of information as described in the Privacy Policy.
14. Intellectual Property
Vidzooka and its software, designs, workflows, interfaces, trademarks, logos, documentation, and related materials are owned by Vidzooka or its licensors. These Terms do not transfer any Vidzooka intellectual property rights to users.
15. Disclaimers
Vidzooka is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee that Vidzooka will be uninterrupted, error-free, secure, or compatible with every third-party platform.
You are responsible for backing up important content and reviewing content before publishing.
16. Limitation of Liability
To the maximum extent permitted by law, Vidzooka will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, reputational harm, third-party platform actions, rejected uploads, API quota issues, or content takedowns.
To the maximum extent permitted by law, Vidzooka's total liability for any claim will not exceed the amount paid by the organization or individual to Vidzooka for the service giving rise to the claim during the one month of the event giving rise to liability.
17. Indemnity
You agree to defend, indemnify, and hold Vidzooka harmless from claims, damages, liabilities, losses, and expenses arising from your User Content, your use of Vidzooka, your connected accounts, your publication activity, your violation of these Terms, or your violation of third-party rights or laws.
18. Changes to These Terms
We may update these Terms from time to time. We will update the effective date and may notify users through the application or by email when changes are material. Continued use of Vidzooka after changes become effective means you accept the updated Terms.
19. Governing Law and Disputes
These Terms are governed by the laws of India. Courts located in Ahmedabad, Gujarat, India will have exclusive jurisdiction unless applicable law requires otherwise.
